Terms of Service

1. Acceptance of Terms
By accessing or using SimpleStaff ("we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations, including the laws of Canada and the Province of Ontario. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Description of Service
SimpleStaff provides employee scheduling software and related services. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to users.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years of age or the age of majority in your province or territory of residence to use this service.
4. Use License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use SimpleStaff for your internal business purposes. You may not:
- Modify, copy, or create derivative works based on our service
- Reverse engineer or attempt to extract the source code of our software
- Use the service for any unlawful purpose or in violation of any applicable laws
- Resell, sublicense, or transfer access to the service without our written consent
5. Payment Terms
If you subscribe to a paid plan, you agree to pay all applicable fees. All fees are quoted in Canadian dollars unless otherwise specified. Prices are exclusive of applicable taxes (including HST/GST). We reserve the right to change our pricing with 30 days' notice.
6. Privacy and Data Protection
Your use of SimpleStaff is also governed by our Privacy Policy. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. By using our service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
7. Intellectual Property
SimpleStaff and its original content, features, and functionality are owned by SimpleStaff Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
8. Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, SimpleStaff disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall SimpleStaff, its directors, employees, partners, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.
Our total liability for any claims arising from or related to these Terms or the service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months prior to the claim, or (b) one hundred Canadian dollars ($100 CAD).
10. Indemnification
You agree to indemnify and hold harmless SimpleStaff and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the service or violation of these Terms.
11. Marketing and Publicity
By using SimpleStaff, you grant SimpleStaff permission to use your company name and logo on SimpleStaff's website and in marketing materials to identify you as a customer of SimpleStaff's services. This permission is limited to factual statements of the business relationship and does not imply any endorsement.
If you prefer not to be identified as a customer, you may opt out at any time by contacting us at privacy@simplestaff.ca. We will remove your company's name and logo from our marketing materials within 30 days of receiving your request.
12. Termination
We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the service will immediately cease. You may also terminate your account at any time by contacting us.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
